At IPFlow , we establish clear guidelines concerning the transfer of intellectual property rights from employees and subcontractors. This agreement aims to ensure that all rights related to innovations, designs, and proprietary information are properly assigned to the company upon creation or employment engagement.

All personnel engaged with IPFlow acknowledge that any intellectual property developed during their tenure, whether individually or collaboratively, shall be deemed the exclusive property of the company. This includes inventions, patents, trademarks, and copyrightable works created within the scope of their duties.

Employees and subcontractors agree to assign, transfer, and convey all rights, titles, and interests in such creations to IPFlow without additional compensation, unless explicitly stated otherwise in a separate agreement. The transfer encompasses all rights worldwide and in perpetuity.

To facilitate proper documentation, personnel are required to sign assignment agreements and cooperate with IPFlow in filing patents or registering trademarks related to their innovations. This process helps protect the company's assets and maintains consistency across all jurisdictions.

Any confidential information or trade secrets shared during employment or subcontracting must be maintained as strictly confidential. Disclosure to third parties without prior approval may result in legal action and termination of agreements.

Inventions conceived outside working hours but related to IPFlow ’s business may still belong to the company if they utilize company resources or are within the scope of employment. Clarifying such matters is essential to prevent disputes.

The company reserves the right to use, modify, and sublicense any transferred rights for commercial purposes, research, or development activities. The personnel waive any moral rights or attribution claims pertaining to the works created.

Upon termination of employment or contract, all proprietary materials, documents, and intellectual property must be returned or assigned as per the agreement. This ensures no residual rights or unauthorized use persist post-engagement.

Disputes regarding intellectual property rights shall be resolved through arbitration or legal proceedings in accordance with applicable laws. Both parties agree to cooperate fully in such matters.

IPFlow may update these terms periodically to reflect changes in law or business practices. Continued employment or collaboration signifies acceptance of any amendments.
